The Board of Directors (the “Board”) of Impact Healthcare REIT plc (ticker: IHR) is pleased to announce that all the resolutions put to General Meeting of shareholders held earlier today were duly passed.

Votes (by proxy and in person) were validly received in respect of 49,865,415 ordinary shares in the capital of the Company (“Ordinary Shares”), representing approximately 31.1 per cent. of the issued Ordinary Shares.

a) Percentages are expressed as a proportion of the total votes cast (which does not include votes withheld).
b) A “vote withheld” is not a vote in law and is not counted in the calculation of the proportion of the votes “For” and “Against” a resolution. c) Any proxy appointments which gave discretion to the Chairman have been included in the “For” totals.

The Company is a real estate investment trust (“REIT”) which aims to provide shareholders with an attractive return, principally in the form of quarterly income distributions and with the potential for capital and income growth, through exposure to a diversified portfolio of healthcare real estate opportunities, in particular residential care homes.
